RIVERSIDE REALTY & AUCTION INC. (VAAF #815) TERMS & CONDITIONS OF SALE EQUIPMENT AUCTION – ONSITE & ONLINE BIDDERS By registering for a bidder number, placing a bid onsite or online, clicking “Agree” on the bidding platform, or otherwise participating in this auction, you (“Bidder”) agree to be bound by these Terms & Conditions, all auction-specific terms posted online, in the catalog, in lot descriptions, on signage, and any announcements made by the Auctioneer (“Auction Announcements”). Auction Announcements take precedence. Auction Location: 757 Industry Road North Tazewell, VA 24630 Office: 276-988-6702 1. AUCTIONEER ROLE Riverside Realty & Auction Inc. (“Auction Company”) acts as agent for the seller/consignor(s) unless otherwise stated. Auction Company reserves the right to refuse bidder registration, revoke bidding privileges, require deposits, require bank letters, or request additional identification at its sole discretion. 2. BIDDING TERMS Items are offered in individual or grouped Lots. The highest bid acknowledged by the Auctioneer is the winning bid. All sales are final. No bid retractions. Auction Company may withdraw, regroup, split, or reoffer any Lot at any time. Auction Company resolves all bidding disputes, and its decision is final. Online bidding is provided as a convenience. Auction Company is not responsible for internet disruptions, platform malfunctions, delayed bids, or technology failures. If a soft close is used, bidding extensions apply per posted rules. 3. PREVIEW & INSPECTION All items and descriptions are believed reliable but are subject to Buyer or Buyer’s agent verification. All items are sold AS-IS, WHERE-IS, WITH ALL FAULTS, with no warranties expressed or implied. Bidder acknowledges they have had full opportunity to inspect and are relying solely on their own inspection and judgment. 4. FACTORY-DIRECT / IMPORTED EQUIPMENT DISCLOSURE Certain equipment offered in this auction has been imported and shipped directly from China. All equipment is sold AS-IS, WHERE-IS, with no warranties expressed or implied unless otherwise announced in writing by Auction Company. Buyer acknowledges: • Equipment may contain factory-installed fluids used for shipping, preservation, or testing • Equipment may require full service prior to operation Buyers are strongly advised to: • Drain and replace all fluids including engine oil, hydraulic oil, coolant, fuel, gear oil, and grease points • Inspect and verify all bolts, nuts, fasteners, fittings, hoses, clamps, belts, batteries, and electrical connections • Perform full safety inspection prior to operation Auction Company makes no representations regarding factory assembly, torque specifications, pre-delivery inspection, or operational readiness. Proper inspection, servicing, safe setup, regulatory compliance, and safe operation are solely the responsibility of the Buyer. 5. BUYER’S PREMIUM A Buyer’s Premium will be added to the final bid price (hammer price) of each item as follows: Onsite Bidding: 13.5% Buyer’s Premium Online Bidding through Riverside / BidWrangler: 13.5% Buyer’s Premium Online Bidding through EquipmentFacts: 15.5% Buyer’s Premium A 3.5% discount on the applicable Buyer’s Premium will apply for payments made by: • Cash • Cashier’s check • Wire transfer • Pre-approved personal or company check accompanied by a current bank letter of credit The 3.5% discount applies to the Buyer’s Premium only and does not reduce the hammer price. Sales tax will be collected where applicable unless proper exemption documentation is provided prior to payment. 6. PAYMENT TERMS All invoices must be paid in full immediately upon receipt of invoice on auction day unless otherwise announced. Accepted forms of payment: • Cash (U.S. funds) • Wire transfer • Cashier’s check • Personal or company check accompanied by a current bank letter of credit addressed to Riverside Realty & Auction Inc., guaranteeing payment up to a specified amount Checks without a bank letter must be pre-approved prior to auction day. Credit cards will be accepted only on invoices totaling less than $2,500. No items will be released until payment has been received and verified. Ownership and title remain with Riverside Realty & Auction Inc. and/or consignor until payment is received in full and funds have cleared. 7. DEFAULT / NON-PAYMENT In the event of non-payment or default, Auction Company reserves the right to resell the item(s) without notice. The defaulting Buyer shall be responsible for: • Any deficiency between resale price and original purchase price • Buyer’s Premium • Commissions • Storage fees • Attorney’s fees • Collection costs • Any additional associated expenses Auction Company reserves all rights allowed under Virginia law. 8. RISK OF LOSS Risk of loss transfers to Buyer immediately when Auctioneer announces “Sold” or when the online lot closes. Auction Company is not responsible for loss, theft, fire, or damage after the item is sold. 9. LOADOUT & REMOVAL Scheduled Loadout: Sunday, May 3, 2026 1:00 PM – 5:00 PM Monday, May 4, 2026 1:00 PM – 5:00 PM After scheduled times, removal will be by appointment only, Monday through Friday, 9:00 AM – 5:00 PM. Items that can be safely loaded using Auction Company equipment (skid steer) will be assisted at no charge during scheduled loadout. Larger items that cannot be safely loaded with standard equipment — including but not limited to shipping containers, oversized machinery, or specialty equipment — are the sole responsibility of the Buyer. Buyer is responsible for all labor, equipment, rigging, insurance, and transport. All items must be removed within thirty (30) days of the auction date. Items not removed within thirty (30) days will be considered abandoned property and may be resold or otherwise disposed of at Auction Company’s sole discretion without refund to Buyer. 10. INDEMNIFICATION & LIABILITY Bidder assumes all risk associated with attendance, bidding, inspection, removal, transportation, ownership, and operation of purchased equipment. Bidder agrees to indemnify and hold harmless Auction Company and consignor(s) from any claims, damages, injuries, or losses arising from purchase or use of equipment. Auction Company shall not be liable for incidental or consequential damages. 11. COMMUNICATIONS CONSENT / MARKETING AUTHORIZATION By registering for this auction, creating an online bidding account, placing a bid, or otherwise participating in this auction, Bidder expressly consents to receive communications from Riverside Realty & Auction Inc., its affiliates, and its service providers. Communications may include auction reminders, invoices, loadout information, upcoming auction announcements, marketing materials, real estate listings, and related services. Communications may be delivered via telephone calls, text messages (SMS/MMS), email, direct mail, or automated messaging systems where permitted by law. Providing contact information during registration constitutes express written consent to be contacted for transactional and marketing purposes. Consent is not required as a condition of purchase. Message and data rates may apply. An opt-out method will be provided in communications where required by law. Bidder may unsubscribe via email links, reply STOP to text messages, or contact Auction Company directly to be removed from marketing lists. 12. GOVERNING LAW These Terms shall be governed by the laws of the Commonwealth of Virginia. Venue for any dispute shall be Tazewell County, Virginia.
